Abstract:	大毅一案引發本文對於股東會資訊揭露之規範與實務判決於公司治理議題下之關注。近年來,實務上對於股東會資訊揭露的相關爭議不在少數,除類似大毅案所涉及的章程變更外,諸如公司進行公司法第一八五條處分全部或主要部分資產等重大變動,或者第三一六條合併或分割時,應於股東會中揭露哪些事項,均值得研究。資訊揭露有其成本,但資訊揭露亦為股東得以理性行使股東權並且進行監督之重要工具。如何在資訊揭露之成本與效益間獲取平衡,「重大性原則」如何適用實為一關鍵問題。本文嘗試以股東會進行變更章程與公司法第一八五條處分重大營業或資產為例,建構我國股東會資訊揭露「重大性原則」之適用標準。
