    Abstract: 現代型交易型態之債權人為求其債權之確保與實現,往往冀求強而有效之擔保權利。傳統法律制度所提供之法定、典型之擔保權利漸漸不符債權人之需求。因此契約法上發展出「擔保給付」之非典型之擔保權利類型,尤其在工程契約中之業主,為求工程品質之確保與如期完工,通常要求承包商應繳交各種類型之履約保證金或以銀行保證金保證書取代之。上開擔保權利在實務上衍生諸多爭議,例如承包商繳交之保證金或銀行提供之保證書附「立即照付」約款之性質為何,銀行應立即付款之性質究為「保證」或「付款之承諾」,二者是否互不相容,銀行付款後業主得否不論承包商有無債務不履行之損害賠償責任,均可終局保有給付等等問題。本文將針對上開相關爭議之實務見解,逐一予以分析檢討,以供日後相關爭議解決適用之參考。
