Abstract:	依公司法規定,董事對公司責任得由公司自行起訴,亦可由少數股東基於公司利益提股東代表訴訟追訴之。惟以公司訴追方式易遭董事或大股東阻撓,現實執行恐有困難,但代表訴訟由少數股東提起,理論上能補充由公司訴追之缺失。功能上,股東代表訴訟功能上不僅能回復公司損害而可間接維護全體股東權益,同時亦能嚇阻董事違法的誘因。因此,該制,對於強化公司治理,應有積極意義。可惜的是,該制於過去實務推展成效甚不理想。公司法的嚴格起訴要求與忽略股東的起訴誘因應為主要原因。新增訂之證券投資人及期貨交易人保護法第十條之一,授權財團法人證券投資人及期貨交易人保護中心(投保中心)於符合法定條件下,得不依公司法相關規定,為上市上櫃公司對其董監事提起代表訴訟。該增訂規定能某程度解決在公司法下股東起訴誘因不足的問題,亦得和緩嚴格的起訴要求。此條增訂就公司治理的強化,應具重要意義。本文擬詳細討論該條實際適用上與執行可能面臨的問題,並就現有規範提出具體建議與未來可能的修正方案,作為後續改進的參考。
