Title:	掏空公司資產之法律責任

Abstract:	"因前述法律修正之緣故,實務上有關掏空公司而涉及財務報告不實之情形,修法前相關判決,有以刑法背信(或侵占)罪、商業會計法及證交法第一七四條第一項第五款論處(例如大中鋼、國揚、大穎等案),也有以背信罪及證交法第二十條第一項及第一七一條判處(例如順大裕),但也有只用刑法及商業會計法來判處者(如立大案);修法後則有博達案適用商業會計法及證交法第一七一條第一項第二款加以判決。至於證交法第一七一條相關民事責任,現行法則付之闕如;如掏空並同時涉及財務報告不實之情形,當然有證交法第二十條、第二十條之一、第三二條等條文之適用;其餘單純之掏空情形,恐只能以要件較嚴格之民法侵權行為作為請求權之基礎,此點對被害投資人保護而言,似嫌不周,不無缺憾。"
