Title:	關係人交易與控制股東之義務

Abstract:	法律之訂定與修正,可謂立意至善,但由於或係行為主體的限制,或係構成要件過於簡略,對於實務上關係人交易利益輸送的爭議問題,仍未能有效處理,故未能徹底防杜關係人交易利益輸送的問題。以發生於一九九年轟動當時之華隆案為例,去年(二四)最高法院以無罪判決確定而收場。這個案例,事實上牽涉兩筆股票的買賣與兩宗土地的交易,一般認為也涉及公司利益輸送之嚴肅公司治理(corporate governance)問題,值得吾人重視。較特殊者,本案背後之控制股東實際上在各關係公司並不擔任負責人的職位,因此如何適用現行相關法律亦成問題。
