    Abstract: 統治權是一個傳統而古老的企業課題，但近年來，由於所有權與經營權分離的現象日益明顯，同時非營利性質之機構組織亦日漸增加，使得傳統以「財產權」為單一正常性基礎的理念受到挑戰，統治權的議題因而重新受到重視。本文首先檢討統治權的基本概念，將其分為「系統統治」與「組織統治」兩層次，前者規範組織內外資源擁有者間權利義務關係，後者探討組織內部權力折衝，二種統治力量實具有相互替代的功能；其次分析產業技術研究機構之機構使命與價值活動，以及實務中各種統治類型的優缺點，最後從理論觀點發展出產業技術研究機構統治權設計的一般性原則及具體作法，嘗試為統治權的探討注入一股新方向。
