Abstract:	本報告乃在處理由日本西元二○○二年商法之修正，引入相關董事委員會之制度，提供符合其要件之公司可以自由選擇是否採行設委員會公司之制度，而採行此制度之公司即不可設立監察人，並進而由其相關董事、執行人、提名委員會，監察委員會、報酬委員會之制度，加以研究整理，並以之比對我國法制上之獨立董事制度之相關問題。 This report is mainly about that according to the Japan corporate law which was revised in 2002, companies in Japan which are qualified can choose to use the new system of committee which is composed of directors. The company which chooses to use this system cannot set supervisor in the meantime. Moreover, we classify and investigate the details and laws about the system of committee in Japan, such as the systems of the directors, the executive officers, the supervisory committee, the nomination committee, and the remuneration committee. Finally we use those data to check, and rethink the question of introducing the independent directors system to Taiwan.
