    Title: 扶植文化事業進入資本市場方案之研究

    Abstract: 民主政治已在我國生根，政府必定朝建立一個民主、自由的國家方向邁進，觀察歐美民主先進國家，文化事業機構在民主發展過程中均扮演相當重要的角色，它們扮演人民與政府之間的溝通橋樑；我國在過去四、五十年期間，台灣的經濟奇蹟是舉世皆知，因此，老百姓在物質生活上皆不虞匱乏，然而，在心靈需求上，則無法獲得完全滿足，目前社會風氣日下，而社會治安的惡化均是人民心靈生活匱乏的見證，文化事業機構可在精神與心靈層面的需求，扮演重要的供給角色。因此，文化事業機構的健全發展關乎一國民主政治發展與人民精神生活的滿足，扶植文化事業也就成為政府的課題之一。 文化事業機構與其他企業機構一樣均需要持續地傾注資金始能維持其存續與成長，一般公司企業長期資金的主要來源為原始股東的增資認股或向銀行籌借長期貸款。唯有規模較大的公司較有機會進入資本市場，藉由公司債或股票的發行，向外部的投資人籌募資金。基本上，這些大型公司的股票均已上市上櫃交易買賣，而其發行的公司債也在流通市場上買賣，由於投資人容易將手上證券經由市場賣出，因此，上市上櫃公司也就比較容易進入資本市場內取得長期資金。 前面曾提及文化事業關乎國家民主政治之發展，與國民精神及心靈糧食之供給，文化事業的健全發展將有益於民主政治之擴展與國民精神及心靈層次之提升，而提供更多籌資管道予文化事業機構，將有利於文化事業之健全發展。文化事業包括廣播電視（廣播電台、電視台等）、出版社與報社等機構。目前，文化事業機構中股票上市上櫃買賣者，僅中國電視事業股份有限公司與時報文化出版企業兩家。另外，年代影視事業也預備上櫃買賣。中國電視公司與時報文化出版在長期資金的募集上，將相對地比其他文化事業機構佔優勢，對其長期發展將有很大的助益。文化事業機構股票上市上櫃的數量相對少於其他行業，此一現象值得政府重視。 文化事業要永續發展，需要資金持續投入，因此，如何輔導文化事業取得擴展所需的長期資金，也就關乎文化事業機構能否健全發展。一般公司企業的長期資金來源不外乎下列三種：一、原始股東增資 二、銀行長期借款 三、經由資本市場取得資金。就第一個來源來看，由於個人財富有限，無法長期支持一家公司的成長。就第二個來源來看，銀行長期借款均需提出實物擔保品，但文化事業機構的資產設備較少，其主要資產為人力資源，因此，銀行長期借款有其上限額度，也無法長期支持文化事業機構的成長。文化事業機構的長期資金來源唯有訴諸資本市場，�ル捙狳憿]股票或公司債）的發行向投資大眾募集長期資金。 目前櫃檯買賣中心提報『店頭市場二類股規則方案』，這個方案主要在鼓勵中小企業及高科技電子廠商上櫃買賣。新辦法的重點有，成立年限滿一個會計年度，資本額新台幣三千萬元，無累計虧損或淨值在新台幣二十億元以上，六個月券商輔導。符合這些主要條件，即可申請上櫃。在上述店頭市場二類股上櫃重點方案中，文化事業機構只要能符合辦法重點，也可以二類股上櫃買賣。此辦法也將使文化事業更容易進入資本市場募集資金。 文化事業個體包括廣播電視、電影與出版，廣播電視包括廣播電台、無線電視、有線電視與衛星電視，而出版則包括報紙、雜誌、圖書與有聲出版品；廣播電視事業個體相較於出版事業個體，其規模較大，資本較雄厚，且財務結構較健全；因此，廣播電視事業個體上市上櫃的障礙應較少。相反地，出版事業個體多為中小企業，或為獨資、合夥或中小型公司，在在需要資金加以改善，然因其財務結構不夠健全，阻礙了資金的取得。協助出版事業個體資本市場取得資金有下列兩條途徑可行： 一、 以二類股規則上櫃： 公司透過併購、改善財務結構、成立策略聯盟及爭取企業投資，以符合二類股規則的要求，進而上櫃買賣。 二、 適度降低二類股上櫃的門檻： 例如：適度調降最低資本額。然而，為了防止公司淪為少數股東所掌控，應提出相對配套措施，例如：外部董事所佔的席位比例等。 本座談會邀請產官學界人士參與座談，藉由集思廣益，以提出扶植文化事業進入資本市場的具體方案，建議主管機關採行。 In the past fifty years, Taiwan has achieved a dramatic economic growth. And the democratic politics system has rooted here for more than ten years. However, the spirit demands from the people have been ignored. Cultural business can not only serve as the communication bridge between people and government but also fulfill the spirit demands from the people. Therefore, it is quite important to support the growth of cultural business. Similar to other industries, cultural business and institutions need constant capital inflows to support their growth. A business can acquire the needed capital from the following three parties: a. the existing owners b. the banks c. the outside investors. Most of the cultural business is organized as partnership or medium-sized companies. Therefore it is not feasible to acquire capital from the existing owners due to the limitations of their wealth. And it is also limited by their physical assets to acquire loans from the banks. Hence, the best source is from the outside investors. If a company has been listed either in Exchange or in OTC market, then it will have a better position to acquire capital from outside investors. Hence, to help cultural business acquire capital in order to sustain their growth, the government needs to persuade and support the cultural institutions to be traded in the public market. This research project will be conducted through the following steps: 1. Literature review and analysis. 2. Holding workshops to gather experts’ opinions 3. Conducting survey and questionnaire 4. Interviewing the cultural business and institutions 5. Integrating experts’ opinions, survey data, and interview. 6. Recommending actions to the government based upon the policy implications from the research.
