Abstract:	傳統之公司概念，認為公司系以營利為目的，而由復數股東結合之社團，故于法制設計上，皆以復數股東之存在，作為公司成立與存續之要件。公司之內部機制設計，通常亦以復數股東之存在為其前提。但在現代經濟社會，由于企業經營之實際需要，在實務上乃有由單獨一人實際出資，所謂一人公司之出現。對于此等與傳統公司概念有悖之一人公司，應如何在法制上適當因應，仍有探討研究之必要。
