Title:	薪資契約與代理成本之研究--衍生性金融商品之應用

Abstract:	撰寫本論文的主要研究動機乃是觀察到所有權與經營權分離是公司組織日益茁壯的過程中所不可避免的情形，因此很多公司的管理者只特有少部份或甚至完全沒有持有股權，以致資本市場無法透過正確評價而給予專業經理懲罰，另其完全承擔代理成本。因此本論文研究的主要目的即藉由股東透過對專業經理薪資契約的訂定，以影響專業經理的福利，迫使其在追求個人效用極大化的前提下，同時也考慮到公司的整體績效，而使其本身的目標與股東趨於一致。在薪貧契約方面，本論文乃結合股價與衍生性金融商品以遇險之誘因契約解決代理成本之問題。
