Abstract:	在現代自由經濟社會中，企業的經營步步都需要正確的財務資料，內部管理人員藉此以進行決策，向外貸款時，銀行家藉此以評估企業財務狀況之良否，以決定貸款風險大小，投資者則評估是否值得投資......等等，因此財務資料便需經由一獨立、公正之專業人員表示其專家的意見，才能緩和管理者與股東及其他第三者之間的衝突，因此這位專業人員非但要有勝任之能力，而且必須有極高的職業道德，但是道德僅是一種無形的理想，並無束縳之力，所以必須藉法律的力量，加以適當的制裁，青年公司冒貸案，啟達公司案，益使人覺得會計師責任之重大。第一章研究方法第一節研究目的第二節研究方法第二章會計師之功能第一節審計之發展第二節會計專業所面臨之問題第三章會計師對客戶之責任第一節財務簽證之責任第二節稅務顧問之責任第三節未審定財務報表第四節結論第四章會計師對第三者之責任第一節法律上之規定第二節案例討論第三節偵察舞弊之責任第四節與專業準則一致之責任第五節結論第五章建議第六章結論
