    Abstract: 交易常見之代理商commercial agency、總代理、代理店、經銷商Distributor及加盟店Franchising等,與商品或服務之供應商有持續且經常之合作關係,被供應商納入與整合在其產品之銷售體系中,學說上稱為「銷售中間人」Absatzmittler。民法債編第二章第十一節第五五八條以下所規定之代辦商,乃民法制定之初唯一直接與銷售中間人有關之法律規範。然而,我國民法立法當時立法者所設想之代辦商形象,是否即為現代經濟生活所理解之代理商,民法代辦商規範之對象是否與其他國家代理商法所規定之對象相同,民法所規定之代辦商是否足以解決現代商事交易常見之代理商相關之法律問題,均有待詳細檢討。抑有其甚者,在行銷國際化之趨勢下,該規定是否已達到國際化之程度而能與世界大多數國家之規範接軌,降低法律交易之風險,更不無疑義。本稿乃藉觀察一九八六年歐盟代理商指令轉化後之德國代理商法之發展,對以上問題提出 個人想法,從而,對我國代辦商或代理商,乃至於銷售中間人法制之現代化,野人獻曝,提供一愚之得。
    The common types of transactions which include commercial agent, sole agency, distributor and franchisee that are integrated to the product sale system of suppliers and have a sustaining cooperating relation with suppliers of goods or services are sales intermediaries. The only legal rule directly related to intermediaries when our Civil Code was first enacted is Article 558 under the title “The Manager and the Handlungsagenten.” Because the commercial agent that lawmakers imaged may be different in today’s economic environment as we know it, the object which the lawmakers of our Civil Code intended to regulate may be different from that of other countries and our Handlungsagenten may be insufficient to solve the related problems in today’s commercial activities, we should therefore examine the image of Handelsvertreter which the lawmakers made. Moreover, under the trend of international marketing, it is doubtful whether our rules relating to commercial agents are adequate to meet international commercial needs and can be coordinated with the laws of other countries in the world to reduce the risks of legal transactions. The study of the developments of the laws relating to commercial agents in the EC and Germany may offer very useful suggestions for modernizing the legal system of Handlungsagenten, commercial agency, and sales intermediaries in Taiwan.
