Abstract:	證券市場的主要功能，在促進資本形成，提供社會大眾或企業機構資金調節之管道。亦為反應經濟動向、社會風氣及公信力的有效工具。內線交易(Insider trading)又稱內部人交易，涉及的因素至為繁雜，我國證券市場的管理，尚在摸索階段；法制及管理者的素質，參與者的觀念與社會風氣等；都是問題形成的主要因素。改善之道；應落實資訊公開，讓參與者公平競爭，方能合理合法。建立有效監視制度，追蹤查核異常交易之動機與消息來源，使不法者受到應有之制裁而有所警惕。對法人或機構投資者予以適度鼓勵，改進散戶之投資觀念，俾減低投機風氣。整頓管理機構，健全人事及法制，排除本位主義，以政策性主導政治、文化、教育與社會的均衡而有效之多元發展，讓內線交易之歪風，無形消失。本文主旨在分析我國及美日等先進國家內線交易的實況，探討問題的特質及其可行改善法則。內容偏重實務研究，少談空泛理論，係基於價值理念，並非存心輕忽。
