Abstract:	由於天然條件及地理環境之故，使得台灣之對外貿（商務）成為維繫整體經濟發展之主要命脈。因此，國際經營環境之變遷屢屢牽動著台灣之經濟發展前途；尤其是近年來，國際間對於日益升高之環保與消費者保護要求，對於國際企業之經營者造成極大之衝擊；其中以要求產品製造人須得對消費者負擔無過失責任之規定，影響尤為深遠。故本研究乃先就「產品責任」之定義、認定基礎、構成要件等加以說明，並能國際間較先進國家之產品責任立法與執行之情形做探討，指出其對國際商業往來所造成之影響。並於最後提出企業在面對此一經營環境之改變時應有之對策：（一）建立產品安全管理機制，（二）依照ISO系列標準確立品質保證體制，（三）強化產品責任防禦機制，（四）產品責任保險，冀期能提供給企業在處理、面對此一課題時之參考。
