Title:	併購案內線交易重大訊息何時明確?-最高法院104年度台上字第3877號等刑事判決評釋

Abstract:	企業併購容易造成內線交易中外皆然，如何在瞬息萬變的併購交易中，避免因內線交易構成要件認定不明確而造成對併購交易的阻礙，實有必要對相關構成要件做進一步深入探討，使相關人士能夠有一套可供遵循的遊戲規則，避免太多不必要的法遵成本。在綠點案，我國最高法院以簽訂意向書作為併購案內線交易重大消息明確時點的實務見解似可贊同，蓋於涉及併購之內線交易案件中，在「明確」及「具體內容」等判斷原則指導下，依個案情形，針對重要之點已達成協議，儘早成立重大消息以保護證券市場之公平性，其方向應值贊同。另外，不具拘束力意向書（non-binding letter of intent）有無可能會影響重大消息成立？關此，在綠點案最高法院謂：所謂「初步意向書」、「意向書」或「無拘束力意向書」並非偏重在所使用之名稱，而應著重於個別併購案所簽署文件之具體內容，且所簽署文件有無約定法律上之拘束力，亦非絕對判斷標準。關於此點，本文亦支持前述最高法院表示之見解。
