    Abstract: 本論文旨在分析中共有關外國投資的規定。但限於時間和現有的資料，故僅涉及「合資企業」而已，中共係透過此種企業而將外資引進。這是一種在中國大陸投資的創新方式，業已引起外國的注視。
    本文重點為第四和第五章，其論及有關「合資企業」的規定和有關中共保障「合資企業」的一些問題。第一和第二章則主在評析中共採行「合資企業」規定時的法律和經濟安排。在這兩章內，有關法律和經濟問題的研討或許有助於對「合資企業」規定的瞭解。惟此兩項主題的深入分析實非本文篇幅及筆者能力所能及。
    總而言之，本文旨為有志於研究中共外國投資立法之個人提供入門之道而已。由於大部份的參考資料均為美國、中華民國、中共、香港、日本、法國所出版的英文刊物，故語言問題在所難免，因此筆者未能確定兩位法律事務評論員和一位官僚人員的中國姓名，前者為 Yeh Ming（葉明）和 Chou Hsin-min（周新民），後者為 Chien Wen- Kuei（簡文貴）。此皆暫譯之中國姓名。
