Title:	有限公司變更組織時適用公司法第106條第4項射程範圍之爭議 The Applications of Paragraph 4, Section 106 of Company Act in the Case of Limited Company`s Organization Change

Abstract:	在台灣的公司種類中，以有限公司的數量最多，為實務使用上最為普遍的公司類型。有限公司設立後，或有需求變更為股份有限公司，2018年修正公司法調降同意門檻為「經股東表決權過半數」，且考量必定會同時變更章程，第106條第4項規定不同意之股東對章程修正部分視為同意，排除變更章程需要「股東表決權三分之二以上之同意」之規定，以避免股東可輕易杯葛。但有問題者，本項視為同意規定於變更章程的射程範圍為何？自字義觀之不甚明確，故本文擬加以討論。
