Title:	公司治理的新樂章：智慧財產管理

Abstract:	2020年係公司治理智慧財產篇章的元年，智財管理制度之建立與績效的成敗成為董事會的職責。公司治理主管必須協助董事遵循法令並提供董事執行業務所需之資料，智慧財產管理也因而成為公司治理主管之職務範圍。此外，公開上市公司必須將智慧財產管理納入內部控制及內部稽核之項目，並應主動建立評估機制，定期分析及評估營業範圍是否有侵害他公司智慧財產之風險。準此，避免侵害他人智慧財產權成為上市上櫃公司必須主動防免的義務，而非僅是消極的不作為。鑑於智慧財產侵權訴訟之賠償金額與律師費用往往非常鉅大，公開發行公司倘與他公司發生智慧財產侵權糾紛，皆應於年報上揭露。2020年最新發布的公司治理評鑑指標首度納入智慧財產管理，且規定倘公司能取得「台灣智慧財產管理系統」或類似驗證，為評鑑加分要素。準此，制訂智慧財產管理計畫並將執行情況於公司年報或網站上披露，已成公司能否於公司治理評鑑取得好分數的重要項目。
