Title:	公司法對公司資金運用之規範

Abstract:	"公司法對公司資金之規範,在公司法第十三條、第十四條及第十五條。公司法第十三條對公司轉投資的限制,可分為兩部分:一是本條前段公司不得為他公司無限責任股東或合夥事業之合夥人,二是公司轉投資額上限,除以投資為業、章程另有規定或經法定程序股東同意外,不得超過公司實收資本百分之四十。公司法第十四條對短期資金運用的限制,本項並非禁止公司禁用短期借款,而是限制其短期借款之用途。公司法第十五條第二項,對資金貸放之限制,本項目的在防止公司資金流失及變相退股,以健全公司資本財務結構,但將妨礙公司資金運用之靈活彈性,可能損及公司競爭發展能力。故已定稿之公司法修正草案中,已刪除第十四條,以及將違反第十三條、第十五條之規定改為行政罰。(本文撰寫於舊法時期,尚未更新內容,敬請注意修正後之新法規定)"
