Title:	南港經營權爭奪事件所涉及之公司法問題

Abstract:	"本文談及南港及國豐公司經營權爭奪中各項公司法方面攻防問題:南港公司為避免經營權喪失,延宕召開股東會期間,公司法第一九五條第二項並無強制改選董監規定,僅有屆期不為改選之行政罰鍰,南港公司為拖垮國豐公司資金,寧接受罰鍰也不改選董事,公司法第一七三條規定為少數股東召集股東會規定,國豐公司持股差過百分之三卻受限「繼續持有一年」要件,無法據此召集股東會,公司法第一七O條二項所謂「召集」股東會究指「開會」,抑或「通知開會」,經濟部最終解釋認為應為「開會」。自此經營權爭奪之例可知,公司法規定雖似周全,然因當事人價值判斷及主管機關執法態度,使得條文用意解釋可能影響實務操作效果,該次經驗實值修法及主管機關執法重視並引以參考。"
