    Title: 締約過失責任的經濟分析－從交易階段化的發展談起

    Abstract: 契約責任如果以契約效期為其始終，使當事人在契約生效前、失效後的行為完全自由，表面上雖較符合契約制度的邏輯，實際上卻因為不能反映現代交易的複雜性，尤其己和許多契約是分階段進行的特質脫節，此時不論交易者自行創設契約前或契約後的規範，以利交易完成，或逕於無規範的狀況下進行締約，都可能造成較高的交易成本。因此四年前民法修正增訂一般締約過失責任的規定，一方面可以減省締約的規範成本，另一方面也較可避免因欠缺規範而降低契約締結的成功率，或所訂契約偏離完整契約模型而造成種種資源、浪費，方向上是值得肯定的。但民法第二四五條之一的規定，在構成要件和效果上都引起不少爭議，本文從經濟分析，特別是交易成本的角度，檢討了此一契約法上的新責任，包括其規範性質，違法的類型及損害賠償責任範圍等，認為確有諸多可議之處，並提出立法政策及法律適用上的建議。
