Abstract:	甲與乙簽訂著作授權合約，約定由甲將其所有或代理之音樂著作，非專屬授權予乙，重製於乙所製造之伴唱機之電腦硬碟內。乙除於簽約時應給付予甲新臺幣4,735,500元之授權費外，每半年並應按其伴唱機銷售之數量，另支付甲一定金額之重製版稅。9年後，甲乃行使其任意終止權，終止甲與乙間之著作授權合約。然而，乙卻辯稱，甲並無終止權，其終止之意思表示非合法有效。
