Abstract:	上訴人美○華城市發展股份有限公司（下稱「美○華城市公司」）於民國（下同）105年6月20日召開股東常會（下稱「系爭股東會」）全面改選董監事，迨改選完成後，第二案即討論「解除新任董事競業禁止之限制」（下稱「系爭第二議案」），並決議通過。被解除競業禁止限制之新任董事包括憲○公司法人代表人黃○文、尚○公司法人代表人黃○香、杰○公司法人代表人黃○杰、美○華興業公司法人代表人尤○青及渼○都公司法人代表人黃○翊等。股東黃○杰、黃○香、憲○公司（代表人：黃○文）、杰○公司（代表人：黃○杰）、渼○都公司（代表人：黃○翊）、佳○公司（代表人：黃○香）、尚○公司（代表人：黃○香）、美○華興業公司（代表人：黃○杰）等（下合稱「系爭8位股東」），均於系爭股東會中之系爭第二議案投下贊成表決權數。
