Title:	企業併購法第27條關於股權申報與表決權限制規範疑義之探討

Abstract:	2020年6月30日大同股份有限公司召開股東常會，公司派援引企業併購法第27條第14項、第15項，主張市場派股東未依法申報而刪除其表決權，使公司派支持之董事候選人全數當選。此舉引來主管機關、輿論大力撻伐，也使外界開始注意到企業併購法有前揭規定之存在。本文即擬以企業併購法第27條第14項、第15項為中心，探討此些規範的目的、適用、認定以及合理性等議題，最終再提出立法建議。結論上，本文建議將企業併購法第27條第14項、第15項刪除。
