Title:	自雷亞案歷審判決析論我國法制下現金逐出合併規範之缺失

Abstract:	現金逐出合併係指合併時收購公司以現金為全部對價予目標公司股東，合併完成後目標公司股東取得現金但喪失股東權利，同時無法繼續為存續公司或新設公司股東，如同被逐出公司現金逐出合併。此種合併除得以強制剝奪股東權外，亦常受到大股東所影響，倘適用規範仍與一般合併相同時，實難期待少數股東權益能被確保。企併法就現金逐出合併此類利益衝突極高的型態不但未有特別規範，更有甚者，於該法第 18 條第 6 項允許擬參加合併的法人股東及其代表人，於公司決議合併之董事會與股東會毋庸迴避，如此對少數股東權益保護更顯不足。本文以研究實務上著名案例出發，說明與分析在現有規範下法院如何回應具有如此高度利益衝突之合併類型，再就法院判決重點提出本文觀察與想法，最後點出我國法制應思考以如何方式回應，針對此類特殊併購類型為利益衝突緩解或淨化機制，以避免類似爭議再度發生，達到企併法追求效率與維護股東權益的雙重目標。
