Abstract:	股份有限公司董事長有特殊的地位與職權，向來為判斷特定派系股東是否取得經營權之重要指標。公司法雖對董事長選任程序有規定，但對如何解任卻付之闕如。近期司法實務有認為董事長得依董事會以原選任方法將其解任，並得以臨時動議方式為之，但由於董事長職位相當重要，有學者則質疑如此見解是否妥適。也因為如此，在近期經營權爭奪案件中，不少係於董事會提臨時動議方式解任現任董事長，造成被解任方不服而持續抗爭之情事。本文即就董事長以臨時動議方式解任、再選任為主題，分析近期司法實務二則判決，並參酌美國公司法規定，探究前揭問題應有的解答。在近期經營權爭奪案件頻傳下，希冀提供一個合理、明確的適法標準。
