| 摘要: | 重整人者,乃在公司重整程序中,擬定並執行重整計畫之法定必備機關。其人選是否適當,關係公司重整之成敗至鉅。九十年修正公司法(以下稱「新法」)中,就重整人產生方式,有重大變革。修正前之公司法(以下稱「舊法」)第二九條(以下稱「本條」)第一項規定「公司之重整以董事為重整人,但法院認為不適當時,得就債權人或股東中選派之。」重整公司之董事,即原經營者,不待法院之選派,依法當然為重整人,僅於例外情形下,方由法院就債權人或股東中選派之,或由關係人會議提出候選人名單,聲請法院選派之(同條二項,後述)。而既往實務,法院於董事外,另行選派重整人之例,並不多見。 |
