    Title: 大陸企業國際籌資分析

    Abstract: 摘要

    對於體質佳之大陸企業而言，藉由中國股市籌集所需資金，並不是一個明智的選擇，然而還有什麼籌資管道可供大陸企業使用呢？近幾年來，有愈來愈多的大陸企業選擇透過國際籌資的方式募集其所需資金。本文將歷年來大陸企業國際籌資的方式做一整理，並特別就海外上市這一部分，做進一步之分析研究。本文以個案天目湖度假中心為例，整理過往大陸企業海外上市之經驗，並以天目湖休閒度假中心為個案，探討其如何透過海外上市，成功募集其企業發展所需資金。針對天目湖個案，探討分析以下幾個問題：天目湖度假中心海外上市之動機為何？其應選擇那個海外市場對其最有利？何種海外上市模式較適合它？最後並根據其本身之個別情況並配合大陸之前的海外上市經驗，給予天目湖度假中心一些建議以提升其海外上市成功之機率。
    個案分析發現，香港創業板由於上市條件較為寬鬆，而且與大陸同文同種，較易被投資人所接受，因此天目湖度假中心宜選擇於香港創業板上市，而其在創業板是否能成功上市之關鍵有二：第一個在於其是否能聘用適任之保荐人，輔導其在香港創業板上市；另一個則是在於其管理層、股東各方利益是否能順利協調成功，由於天目湖休閒度假區之營運資金除一部分來自於原股東外，政府亦有出資，另外有一部分資金來自於招商引資，因此其股東結構有點複雜，如何令各方意見就海外上市之相關議題趨於一致，亦是天目湖海外發行上市能否成功之關鍵。
