Title:	融資公司法草案與日本融資三法之比較研究

Abstract:	資金為企業命脈，建立多元且有效之資金融通體系，極為重要。但我國資金融通體系，向以銀行法規範下之金融機構為主流。鑑諸美日等金融市場發達之國家，均鼓勵非銀行業務（non-bank business）之發展，藉由開放非收受存款之融資公司之設立，從事放款、保證、票據貼現及其他廣義融資業務，如融資性租賃等，以促進融資業務多元發展，滿足個人及中小企業資金之需求。故，為使國內融資業務與世界接軌，滿足個人及中小企業多樣化之資金需求，以活絡資金市場，進而促進國家整體經濟發展，經建會已於2004 年6 月間研擬完成「融資公司法草案」，並提報行政院審議中。惟，觀之經建會研擬之「融資公司法草案」條文，似未充分參考日本「貸金業法」、「割賦（分期付款）販賣法」及「出資、利息限製法」等合稱「貸金（融資）三法」之規定。而日本法制對於融資公司之相關法制，在長期實務運作經驗下，歷經多次修正，已建立一完整且嚴謹之規範架構，對於我國將建立之融資公司規範，應有諸多值得借鏡之處。本研究乃擬以日本融資三法為比較研究對象，檢討我國「融資公司法草案」有無可予調整改進之處。
