    Abstract: 近來的政府再造運動（reinventing government），強調以績效運作為前提，思欲降低財政（人事）支出，以改善財政困窘。由是公共事業投資與經營績效經常成為全民檢視的對象，因此政府再造的民營化策略，自政府本位而言，可有效解決人事經費困窘、經營績效不彰等因素，自企業本位而言，卻也是邁向國際化與彈性營運的最佳途徑與選擇。然而，近乎完美的民營化策略，卻對原本的員工產生的影響卻日益加深，司化後的企業，其經營績效或許漸入佳境，然而舊有員工該何去何從？解決了公司人事包袱，卻衍生了員額精簡後，所可能產生的社會問題。因此本研究將從人力資本的角度，檢視國營企業公司化後，人力資本變化的情形，透過對國外相關措施（以英美為主）的引介，析探其民營化過程中，如何解決或善用人力資本的相關策略，以便作為進階作業（完全民營化）或重新檢討的依據。
