Abstract:	股票獎酬制度向來被視為解決經理人與股東之間的代理問題及激勵員工的重要機制，即藉由股票獎酬讓員工成為公司股東，以提供誘因讓員工的利益和股東的利益趨於一致，惟此觀點乃源自於歐美公司經理人擁有少數股權卻掌控公司大多數的經營權，既有獎酬實證文獻也多以歐美公司為樣本探討此代理問題對獎酬制度的影響。然而，東亞地區的上市公司所有權通常較為集中，控制股東同時也是公司的管理階層，其與小股東之間的利益衝突，使得股票獎酬制度是否符合公司價值極大化受到質疑。本研究之目的即在以台灣上市（櫃）公司為樣本，探討當代理問題源自於所有權集中時，股票獎酬的決定因素與對公司績效之影響，並藉此驗證台灣公司股票獎酬制度的採用是否與公司價值極大化的經濟動機一致，抑或是成為控制股東剝奪小股東利益之工具。
