Title:	股東及董事因自身利害關係迴避表決之研究

Abstract:	近來，因台新金控公司擬與彰化商業銀行股份有限公司進行股份轉換，依公司法及企業併購法，就相關議案之決議時，台新金控指派之彰化銀行董事應否迴避等相關問題，引起法學界與主管機關熱烈之討論，但如何妥適解決此一爭議問題，一時之間尚無眾議僉同之意見出現。本研究擬針對此等問題，就各國公司法制及實務見解，提出一套可供我國法制參考之原則。按公司法第178 條規定：「股東對於會議之事項，有自身利害關係致有害於公司利益之虞時，不得加入表決，並不得代理他股東行使其表決權」；同法第206 條第2 項就董事會之決議規定準用第178 條之規定。故依現行公司法規定，董事及股東應行迴避，不得參與決者，必須同時符合「有自身利害關係」且「致有害於公司利之虞」二個要件，應無疑義。又公司法第178 條所謂「有自身利害關係」，依大理院11 統字第1766 號解釋，係指股東因該事項之決議特別取得權利或免除義務，又或喪失權利或新負義務之謂；所謂「有害於公司利益」，依經濟部函釋意旨，為包括所有對公司利益造成損害之情形。此等規範至為抽像，遇具體案例時，如何應用，頗為棘手。國內文獻探討此一問題者，並不多見。因此，有必要從各國實踐中加以探究。
