    Abstract: 近來我國資本市場頻傳公司敵意併購事件，目標公司也有相應地採取防禦措施的事例。雙方你來我往，引起各界矚目。惟資本市場究竟可否敵意併購？如可，其功能何在？有無產業別之限制（如金融機構與非金融機構適用不同規範）？此乃值得研究的重要課題。按我國企業併購法第五條規定：「公司依本法為併購決議時，董事會應為全體股東之最大利益行之，並應以善良管理人之注意，處理併購事宜。」然則，何謂「董事會應為全體股東之最大利益行之」？依我國目前有關法令，並不十分清楚。此外，我國公司法、證交法對於目標公司董事會的防衛措施並未設有任何明文。惟依「公開收購公開發行公司有價證券管理辦法」第十四條規定，似又隱含有支持公開收購之意。目標公司可否相應地採取防禦措施？如可，何種情況下允許？由誰決定採取防禦措施？有無限制所採取之防禦措施種類及程度？又，各國面對不同的政經環境，所採取的態度也不同。我國宜採何種立法對策？由於我國敵意併購活動有日益興盛之勢，相關問題也應未雨綢繆，儘早立法因應，始為正辦。否則，我國目標公司當可隨意採取防禦措施，犧牲其他股東之利益，剝奪股東對公開收購案應有之決定權，阻礙我國資本市場之進步發展。
