    Title: 上市櫃公司董事會評鑑制度之研究

    Abstract: 隨著公司治理之要求日益提高，董事的角色以及職責也成為焦點，但是如果沒有一套有系統的（自我）評鑑制度，實際上董事對於本身應該扮演何種角色及功能並無明確之認知，因此如何建立客觀之自我評鑑標準與期待讓董事會整體以及董事個人都能瞭解，並進一步擬定計劃來改進，是本論文的研究動機。而本論文研究方向並非僅針對法令所規定的應為規定，而是希望針對企業經營與所有分離之原則下，董事在公司治理及經營上所應該扮演的角色，以及如何利用董事（自我）評鑑的制度使董事會及董事個別均瞭解其是否發揮應有的功能，而這些方向由於涉及經營或商業上的判斷，因此如何建立董事會（自我）評鑑制度之治理守則（”best practice”）以及所可能涉及之內容，是本論文主要探討的方向與內容。
    由於國內目前已經引進評鑑制度來瞭解公司治理之成效，而且研究之文獻也多集中在公司治理之整體評鑑，而對於董事會如何進行自我評鑑，以及自評之目的、設計與流程等等還沒有較為詳細之研究與討論，再者台灣目前的公司治理制度包括董事會之構成主要參考美國沙賓法案之單軌制。因此本論文在研究方法上採取比較制度的研究，除了參考已經開始推行董事會及董事個人評鑑之美國的相關文獻探討以外，也針對美國公司董事協會（National Association of Corporate Directors）所推薦之董事自評問卷內容與國內擔任上市櫃公司董事職務之人士來做一訪談。
    本論文之研究結論是上市櫃公司在引進此一制度時，應先使董事瞭解董事會（自我）評鑑制度之定位與目的，並可引進準備程序來提高董事評鑑效能與接受度之方法。此外對於如果要參考美國的董事自評的評鑑表，本論文也提出建議應做好匿名及對事不對人的自評制度的配套，此外為了使董事自評的評鑑制度不要
    侷限於形式主義的問卷型態，應明確設定公司對於董事之期待並將其反映在自評問卷或訪談中，並依據自評之結論建立追蹤與改善計劃，才能使董事會透過經常性及系統性的自我評鑑結果，瞭解到各自在公司治理所扮演的角色，以及還需要改進的方向，並具體的採取行動與訂出具體方案，才能真正使董事會發揮其效能，提升公司治理及公司的競爭力與股東價值。
