    Abstract: 「黃老」與「道家」一詞皆首出於《史記》,而《史記》所表述之黃老內涵,普遍為今日研究黃老學說的重要依準。本研究之主要內容為: 一、《史記》中「黃老」之引稱不一,同指而異名的現象普遍存在。 二、「老子」思想未盡符合「道德家」之旨意;「黃帝」在「黃老」的定位不明。 三、「黃老」是為學說、學派或一時之學術傾向?乃至發展脈絡、人物行誼等皆記載片斷。其實質內涵有賴於從<論六家要旨>中的道德家之定義,相驗於黃老帛書而作進一對推論。 四、陰謀為道家之所禁,值得進一進地認識。 五、老、莊、申、韓同傳之依準為「道德」。 六、黃老立方於其道家本質的思想上,以道論為最高指導,參斟陰陽之理,下落於令因循無為之治道,並綜採各家之善,如儒墨之仁義、兼愛、尚賢、使能的主張,法家之形名法術等等,融合而成為新而獨特的思想,不同於老莊一系的道家哲學,可以視為一個全面性的獨立學說。「黃老」與「道家」指同為一學術思想或同一時期的學術傾向,其中是否仍有差異,史遷並未予以分別;基本上是實同而名異,而史遷爲何以不同的名稱論述,則難以斷明。老子的思想,為黃老學說中極重要的典範,但「老子」不能涵括所有的黃老思想,只能視爲其學說的一部分,畢竟以今日學術界普遍認定的黃老學說的內涵中,甚多部分是「老子」所沒有的。
    ”Huang-Lao” and ”Taoist” are both derived from ”Historical Records” firstly. The connotation of Huang-Lao described by ”Historical Records” is the important maxim of studying Huang-Lao theory nowadays generally. The main content of this study: I. ”Huang-Lao” in ”Historical Records” is cited differently. The appearance of same intention and different compellation exists generally. II. The ideas of ”Lao-tzu” is not all coincident with the content of Taoism; ”Huang-Ti” in ”Huang-Lao” is not established clearly. Ill. ”Huang-Lao” is a theory, school or temporary academicism 7 Even it`s a prehistoric episode of the course of development and human behavior. In fact, the connotation depends on the definition of Taoist from ”On principles of Six Mentors”, and proves Silk Manuscript of Huang-Lao and come to a further conclusion. IV. The backstairs are banned by Taoist and worthwhile understanding further. V. The principle of Lao, Chuang, Shen, Han is ”moral”.
