Title:	友好董事會 vs. 監督董事會

Abstract:	董事會具有監督與顧問功能，從代理問題看，監督重於顧問，但從管家理論與網路連結看，企業管理者期望與董事會合作，提供有效資訊以創造公司價值。本文利用2005-2008 年已可取得的財務資訊，探索監督成本與協調成本對市場報酬、會計績效的變異效果與公司價值的影響，發現監督成本越少，經營績效越佳;協調成本越多，經營績效越高;協調成本與總要素生產力之間的關係不高，除了董事會連結的協調成本對公司價值具正向效果外，其他的協調成本對公司價值的影響都不顯著，這說明了董事會功能並非只是為了公司治理，而顧問功能與網路關係也是很多董事會的組成內涵，共同為股東利益最大化努力。本文主要貢獻在於釐清臺灣上市公司董事會的多功能性質中，與管理者維持良好的合作關係，與扮演協助管理者達到目標、提升績效較監督管理者以減少代理衝突為重要，而且發現管理層的研發功能與專家功能越高，董事會協調成本越低;管理層的研發功能與專家功能越低，董事會協調成本越高，值得學界參考。
