| Abstract: | 2007年12月20日，我國半導體矽晶圓材料商中美矽晶宣布將以4,500萬美元收購美國磊晶專業廠GlobiTech Incorporated，這是素有併購天王之稱的盧明光先生接任中美矽晶董事長後進行的第一件併購案，中美矽晶透過併購GlobiTech Incorporated掌握了半導體矽晶圓材料的完整一貫製程，從原先的長晶、切片、研磨、拋光的製程技術延伸至附加價值最高且應用甚廣的磊晶領域，並且打入國際一線半導體廠的供應鏈之中，中美晶在全球半導體材料產業躍居為全球第八大廠商，可謂相當成功之併購案，而盧明光董事長在併購前的策略思維與決策考量更是十分值得學習的典範。
本個案分為兩部分，第一部分為個案本文，描述2007年中美晶面臨之發展困境與併購標的GlobiTech與標的之類似公司嘉晶電子的概況，佐以半導體矽晶圓材料產業之介紹，以及競爭對手合晶科技之發展進程，以供讀者作為後續決策的參考背景資料。第二部分為個案分析(Teaching Note)，針對個案提出五項核心議題：
1.中美晶當前遇到的困境為何? 哪些方式可突破當前的困境?
2.中美晶是否應併購GlobiTech? 若併購可能產生哪些綜效?
3.GlobiTech於經營上有何可改善之處?
4.併購GlobiTech有哪些潛在風險?
5.對中美晶而言，GlobiTech的股權價值有多少?
並針對上述問題提出可能之參考答案及分析，以供授課教師作為課堂討論的參考依據，末節為結論與後記，描述中美晶最終的決策與併購後續之發展。 |
