    摘要: 因應傳統商業保險市場日益嚴苛的保險條件，國際企業集團已經普遍採用專屬保險之替代性風險移轉方法，強化企業集團的風險管理整合，並將風險成本降到最低。本文以文獻分析法與比較研究法為主要研究方法，逐步分析專屬保險制度的基本類型、運作模式及法律關係，俾能有效釐清專屬保險的法制架構。同時，本文探討國際專屬保險註冊地間規範競爭的監理趨勢，研究結果指出，在2008年金融危機後，歐美各國乃研議重整金融管制體系，採用審慎措施加強金融監理管制，預期能有效抑制專屬保險註冊地的惡性競爭以維持交易市場秩序，並回歸於提高經濟活動效益之良性競爭。最後，本文提出相關建議，期能成為主管機關與相關單位之參考。
    Due to the restricted conditions of commercial insurance market, the international corporate groups utilize captive as mechanism of alternative risk transfer to strengthen the integration of risk management and reduce the insurance cost. This paper would first review the legal framework and operation of captive insurance company by adapting the literature analysis method and comparative research approach. In the meantime, this paper also conducts the comparative study of international regulatory trend on captive domiciles and analyses the arguments of regulatory competition. After 2008 global financial crisis, it has been found that the US and EU countries have reinforced financial supervision as well as prudential measure, which would secure the market discipline and prevent from the negative effect of racing to the bottom. Eventually, this paper makes recommendations to our regulatory authorities for the constructing captive domicile in Taiwan.
