    Abstract: 無權利能力之社團，又稱為非法人社團。民法所承認之二種法人之一為社團法人。社團法人之實體為人之結合，民法上之社團法人非以公益為目的不可（民四六）。蓋以營利為目的之法人須依特別法之規定（民四五）故也。但社會上既非營利又非公益為目的之團體非常多，例如各種俱樂部、校內各種社團、同鄉會、同業公會、各種協會（如登山協會）等是。此等團體專以會員相互之精神上及肉體上之向上為目的，而不以社會一般利益為直接目的而結合。而具有多數的團體員，依多數決的意思，藉代表人的行動；且具有團體之獨立財產，故實際上其與社團法人並無相異之處，但要把它當成法人又無法律之依據。昔日日本一般學者們對這些非法人團體，適用合夥規定（民六六七以下）來處理。但民法之合夥乃團體員個人性極強之結合體。合夥員之脫退、加入須經全體合夥之同意，代表人之行動乃全員代理人之行動，尤其財產乃屬於全體公同共有，債務屬於全體的無限責任。這些理論誠未能適用於右述之特殊團體裡。因此近時之學說把這種團體稱為無權利能力之社團，而認之為與民法之合夥在本質上有所不同。在法律上大致可準用社團法人之規定。依據我司法院二○年院字第五○七號解釋：「私立學校同鄉會等團體，如其組織合於民法總則社團或財團之規定時亦得聲請為法人之登記」。然無權利能力社團之本質及其詳細內容如何？對之在吾國幾乎未曾被討論或研究。本問題在德、日之法學界裡履被討論且極受重視。對此法學上之盲點，不容再勿視，因而特借本園地為之論述，以資促進吾國法學界之對本問題的重視，以期收取拋磚引玉之效。
