Title:	企業購併成功個案之探討－美商泰科國際購併美商安普

Abstract:	近年來國內外企業購併之風再度盛行，或源於專業經理人面對追求股東價值極大化的終極經營目標壓力下，盛行以購併方式達成快速外部成長策略。不論是採相關行業的水平、垂直購併，或是純粹多角化非相關行業購併，對股東而言就如同買入一個不確定未來綜效的選擇權，日後成功或失敗似乎無法事先掌控。本論文以1998年底美國泰科國際公司(Tyco)以美金116億元股票交換方式，在短短兩星期之內以白馬王子身分買下世界第一大連接器製造商美商安普公司(AMP)個案為探討對象。特別值得一提的是，兩年後以財務指標及營運綜效評估此一購併案皆能證明此案唯一成功。本研究得到下列結論：封面頁證明書致謝詞論文摘要目錄表目錄圖目錄第一章緒論第一節研究背景，動機與目的第二節研究範圍與限制第三節研究架構第二章企業購併理論第一節購併的動機第二節成功的購併步驟第三節反購併措施第四節購併的方式第五節投資銀行第六節購併價格計算簡介第七節購併後的管理第三章案例分析第一節個案背景第二節電子連接器產業介紹第三節相關公司及人物介紹第四節聯訊公司公開收購條件第五節安普公司自我收購條件第六節白馬王子第七節股東會投票表決第八節專家評論第九節購併後之相關後續活動第十節兩年後的美商泰科國際公司第四章文獻探討與實務驗證第五章結論與後續研究建議第一節結論第二節後續研究建議參考文獻
