    Abstract: 本研究以台新金與新光金之併購案為分析核心,採用個案研究法,輔以財務數據、市場資料與政策環境交叉驗證,釐清雙方併購動機、程序安排與綜效衡量,並進一步檢視合併對於公司資本結構、產品組合、風險管理與長期經營績效的潛在影響。期能藉由本研究提供金融產業未來整併策略之參考依據,亦為政策制定者在面對大型金融機構整合趨勢時,提供監理與政策規劃上的實務啟示。
    研究發現,該案不僅凸顯銀行與壽險業務互補的策略價值,亦展現金融業尋求產品整合、通路共享與資金調度效率最大化的市場趨勢。台新金成功推動併購的關鍵因素包括:對新光金控財務狀況的深入掌握、在併購方式設計上展現彈性與優勢、提出完整且具體的整合計畫,以及較無明顯市場獨占疑慮,有助於獲得主管機關審核支持。合併後新實體將躍升為台灣第四大金控,可能改變既有金融版圖格局,並對市場競爭、監理政策與公司治理帶來深遠影響。
    This study focuses on the merger between Taishin Financial Holding and Shin Kong Financial Holding, using a case study approach supported by financial data, market information, and policy analysis. It examines the merger’s motivations, process, and synergies, and assesses its potential impacts on capital structure, product mix, risk management, and long-term performance. The goal is to provide strategic insights for future financial industry consolidations and offer practical references for policymakers in regulatory planning.
    The findings show that the merger reflects the strategic value of combining banking and insurance operations, aligning with broader trends in product integration, shared distribution channels, and improved capital efficiency. Key factors in Taishin’s success include a strong understanding of Shin Kong’s financial position, flexibility in deal structuring, a clear integration plan, and limited antitrust concerns—contributing to regulatory support. The merged entity is expected to become Taiwan’s fourth-largest financial group, with significant implications for market competition, regulation, and corporate governance.
