    Abstract: 世界各主要國家之法律為何禁止內線交易?按美國一九三四年證券交易法第二條明定:「確保公平誠實之證券市場」為該法之主要目的之一。其一九八八年之「內線交易與證券詐欺禁止法」的相關說明也強調:內線交易損害投資人對市場之信心,影響市場之健全。另外,美國證券法巨擘羅斯教授(Professor Louis Loss)也說:「如同玩牌時,牌友如可以做記號出老千,則誰會來玩這不公平的詐賭牌(marked cards)呢(亦即,公衆為何會進入證券市場參與投資呢)?」我國證券交易法第一五七條之一及第一七一條同樣基於同一法理嚴禁內線交易。
