Abstract:	A餐飲業有限公司(下稱「A公司」)因涉有公司法第九條第一項「股東未實際繳納股款」之情事,業經法院判決確定,又未於判決確定前為資金補實,公司登記機關依同條第三項規定撤銷原核准公司設立登記(當時董事為A君)。又其後續以錯誤事實為基礎所核准之遷址、公司名稱變更、公司所營事業變更(由餐飲變成工程)、改推B君為董事及修正章程變更登記等,經濟部皆併予撤銷登記。前述A公司於遭撤銷登記前,以變更後之公司名義所為之營利行為,國稅局所屬稽徵所據以課徵營業稅及營利事業所得稅。試問:本案課徵營業稅及營利事業所得稅之核課主體應為何人?
