Abstract:	權利耗盡原則之構成要件中，常為學者或判決實務所關注者，要屬合法商標物第一次銷售行為之同意，特別是基於同一商標但國外與國內商標權人分屬不同人時，究竟國外市場第一次銷售行為之同意，是否拘束國內商標權人而令其不得以商標權阻卻合法商標物之平行輸入？此為第一次銷售行為擬制同意的問題。本文本於權利保護國與他國商標權人間的經濟連結關係，以及考量合法商標物品質與商標使用狀態之管控可能性，以美國法與歐盟法為借鏡，提出「擬制同意」之解釋適用。並辨析當權利保護國之商標權，乃是由他國相同商標的商標權人讓與而得，此時，權利保護國之商標權人究竟是否與他國商標權人具有經濟連結關係，或於本國市場享有獨立商譽，此亦涉及權利耗盡原則下第一次銷售「擬制同意」的問題。
