    Abstract: 在知識經濟時代，以智慧財產權為首的無形資產越來越受重視，而我國在面 臨產業轉型的變革中，目前重點發展的高科技、數位內容和生技產業，其競爭力 即以無形資產為主。但因無形資產價值不易確定，以及欠缺交易次級市場，造成 上述產業在面對交易或融資時面臨困難而有礙於產業的轉型。為解決此問題，資 產證券化（asset securitization）是一股值得研究的趨勢。無形資產證券化的 首例為一九九七年的英國歌手大衛鮑伊Bowie Bond，此後無形資產證券化市場 在美國蓬勃發展，而日本在二○○○年規模高達二百五十億美元，尤其是日本在 音樂娛樂資產證券化實例甚多，對於我國推動音樂錄音和數位內容產業非常值得 研究。 不過我國資產證券化僅在初步發展階段，現行法制仍有待健全之處，如無形 資產分割後公司原債權人和投資人之間保護的平衡點、無形資產會計上之處理、 服務機構和專業人士的忠實義務與責任、信用加強制度等等。所以如何不過份加 重證券化成本而達到保障投資人之法制設計，乃是本研究計劃之主要焦點，希冀 針對建構無形的智慧財產資產證券化適宜法制之基礎，期能透過法律和實例分析 之研究，不僅就政府重點產業之籌資環境注入新活力，更希望能藉此健全我國金 融市場，以提高我國業者在國際市場的競爭優勢。
