Abstract:	公共工程契約之特色在於其所涉及的標的及金額龐大，履約期間漫長，契約履行的過程中更常是狀況百出，包括民眾抗爭、異常工地狀況、政治力干預、不可抗力等各種因素，均有可能造成履約上之糾紛。若契約內容完整周詳，將可避免紛爭之產生，因此如何利用契約條文避免履約紛爭即為本文主要之研究重點。德國工程採購及契約委員會於2002 年5 月2 日通過「工程採購及契約要件」，係就公共工程契約中之重要原則予以明文化，並制定為契約條款，以供政府機關締結公共工程契約時採用，對政府機關具有一定的拘束力。因此在探討公共工程契約主要條款之內容時，該行政規則即具有重要的參考性質，可做為我國制定契約採購要件之借鏡。此外，德國民法於2002 年修正時，關於承攬一節亦有所著墨。本文將一併考量德國新民法在2002 年對承攬契約的修正。我國民法雖源自於德國民法，但是德國民法部分條文與我國民法仍有不同之處。新修正之德國民法承攬篇，對於公共工程契約履約過程中所可能產生之問題，如驗收與完工證明等，有較為完整的規定，故本文亦擬就此一部分加以研究分析，並就我國民法承攬章提出修正建議。
