    Abstract: 中國歷經30年改革開放以來，各類企業之併購活動於市場經濟體制改革的推動下有長足發展，關於併購立法框架也逐漸有一雛形。依其位階高低，中國涉及併購法律框架主要包括憲法、法律、國務院根據憲法與法律所發布的行政法規、國務院各中央部門依其職權所發布之規章，以及地方政府所發布的地方性法規等層次。其中行政法規與部門規章此一層次之立法構成中國併購法律體系的主體，其內容龐雜，彼此間有衝突，使外國投資者於併購投資時常有無所適從之感。 此外，中國各級主管部門尚針對外資併購制定許多內容各異之規範性文件，其雖稱不上嚴格意義之法令，而僅屬引導政策之內部檔，但在實務操作上仍有一定參考性。中國目前關於外資併購之相關規定許多即屬於各主管部門制定的規範性檔，其內容缺乏透明度，亦導致中國外資併購法律體系之穩定性及普遍適用性相形低落。
