    Title: FOB買賣契約之研究

    Abstract: 國際買賣之範疇廣泛，包羅萬象，就其中所常牽涉者而論，即包括有金融、匯兌、海運、保險、倉庫、稅關、稅捐、報關等各方面之事務，故各國對買賣雖均設有完整法律之規定，但卻難於適用國際買賣之複雜情事，蓋各國國內法所規定者，係以買賣之一般情況作為規律之對象，並未攷處於國際買賣之特殊情況，例如各國國內法院在適用各國法律之際，訴訟程序遲緩，自不足以順應瞬間變幻萬千，講求速率、時間之國際貿易社會，故國際買賣中所生之糾紛，當事人常不原訴諸法院之判決，寧願訴諸商業上仲裁之方式，甚且約定仲裁時，並不依國內法，而依一般商事慣例及標準契約作為仲裁之依據。各國之買賣法既不足以引為國際買賣之準據法，又由於國際買賣係跨越不不同國家當事人間之交易，故如有一各國共通適用之準據法存在，不但能促進交易之遂行，而且可防止爭議。可惜此一理想頗難實現，蓋各國國情互別，法律互異，欲調和各國之法律匯成一共通適用之準據法，無異要各國放棄其法制之精神，其所面臨之困難，自不待言。惟此一理想雖然不能實現，但各貿易國卻轉以訂立國際公約之方約，以促進交易之圓滑進行，並於當事人間求一公平合理之準據。如就國際貿易所普通採行之工具信用狀及載貨證券而言，有一九六二年押匯信用狀統一慣例與實務（Uniform Customs Practice for Documentary Credits 1962 Revision）以及一九二四年海牙規則（International Convention for the Unification of certain Rules relating to Bills of lading 1924）就通常採行之貿易條款而言，有華沙牛津規則（Warsaw Oxford Rule for C I F Contract 1932）以及國際商會所（International Chamber of Commerce）所制定之國際商語典（Incoterms 1953），就買賣之內容而言，有最近於荷蘭海牙所簽訂之統一國際商品買賣契約締結法公約（Convention relating to a Unification on the Formation of Contracts for the International Sale of Goods）及統一商品買賣法公約（Convention relation to a Uniform Law on the international Sale of Goods）。這些公約雖無拘束當事人間之效力，但卻為當事人所樂於採行為契約之準據法，其對國際貿易之發展，實有不可磨滅之貢獻。
