Title:	企業結合之研究

Abstract:	企業結合雖可以實現大規模生產、產業合理化、避免過當競爭、強化國際競爭能力、穩定物價等優點。然同時亦可能產生限制貿易、限制競爭，而形成獨占壟斷之地位，結果不但消費者之利益受到侵害，而且阻礙經濟成長。因此，應否加以規制，在已開發國家中雖曾引起爭論，然由於飽嚐深受其害之痛苦經驗，前多制定有企業結合規制之法令（反托辣斯法，以維護「自由公正之競爭」（free and faircompetition），並保護消費者之利益。至於開發中國家，正如張耀東教授所言：「亦需未雨綢繆，蓋每一種企業及各該企業界的人士，當其企業辦理成功之日，即是其福國利民之時。惟天下任何事物，均非絕對的一成不變，也可說任何事物，多有一體兩面，如不因勢利導，其族踵問，它們或他們可能急轉直下的，在國內形成壟斷市場，在國際搞得聲名狼籍，愛之適足以害之，而其對整個社會為害之烈，絕非一般人所可想像。」證之六四年＋月廿二日自立晚報一則報導：洗衣粉製造商企圖聯營，此種卡特爾行為實不合理，因原料價格，並無變動，且洗衣粉工廠十家，每月總生產量約三千噸，總銷售量約二千八百噸。故企圖聯合抬高價格，應予制止，但未見主管機關作有效措施。」其言不虛。且於輸出貿易方面進行合作外銷者日漸增多，此種輸出卡特爾應否任其自由成立，而毫無限制，不無疑問。筆者有感於制定企業結合規制法之必要，乃著手研究。
