Abstract:	本文共分四章，主要包括兩部份。一部份係在學理上簡述幕僚職掌之概念、功能、使用及限制，尤看重幕僚功能之發揮，幕僚關係及功能權力等之說明; 另一部份，以台灣水泥公司及亞洲水泥公司為例，採個案研究方法，作實務上之研討，期理論與實務兼籌並顧。從權力關係上，探討幕僚之概念，如幕僚之本質．為顧問或輔佐關係，并非活動結合或管理功能專業化之結果。幕僚之功能，主要為計劃、監督與控制，并應就權力關係，直線人員於行動前，先行洽商幕僚之意見等，來發揮幕僚之功能。幕僚之使用，應以有助於全盤營運之工作成效為前提，并以不破壞權力系統，簡化權力關係，因應實際需要為原則。功能權力應妥慎運用，儘量兼顧命令統一之原則，以不超過該幕僚所屬主管下之第一階層為限。
